Andrea Whiteway
Biography: Andrea Macintosh Whiteway, a partner in the tax department of McDermott Will & Emery LLP, is one of the leading partnership tax attorneys in the country. Ms. Whiteway received an undergraduate degree in economics and government from Cornell University, and her law degree, with honors, from the University of Maryland School of Law. She earned a Masters of Law in Taxation, with distinction, from the Georgetown University Law Center. Ms. Whiteway practices in the area of Federal taxation, with particular emphasis on matters relating to real estate and partnership taxation. Her practice includes planning, policy, and controversy matters. She has extensive experience structuring large partnership and real estate transactions, and regularly represents several of the nation’s largest real estate developers and owners in transactional matters. She has also served as tax counsel in connection with the formation and operation of numerous corporate joint ventures. She most recently represented a prominent Maryland family in the disposition of 1,392 apartment units to Home Properties, a publicly traded real estate investment trust for consideration totaling $172 million in a complex tax deferred transaction. The disposition was structured in a manner to defer the payment of Federal income tax as well as to minimize the payment of local transfer and recordation taxes. In addition, she recently represented another prominent land owner in Maryland in implementing a sale and joint venture structure for the development of a significant mixed use development site to include retail, 850,000 square feet of commercial office space, 150 luxury townhouses and 450 condominium units. She presented creative solutions to many structuring issues that arose in negotiations and ensured that her client’s interests were protected at every juncture.
